3 better is unknowns to me.
Should I lay it down? I mean with my stuck size I almost never rise/fold but 3 bet looks strong here. On the other hand CO adds dead money to pot and I am happy to flip for stucks.

If you raised preflop with the intent of pushing to a 3-bet I have no problem with the shove, if that is the case I might have bet a little larger just to announce the fact you were going with the hand. The 3-better looks very strong here considering his stack size, IMO it is probably a big pair AA, KK or QQ, I think with AK, TT, JJ he shoves and don't feel there is much more in his range.
If you are not willing to shove then I think you need to fold and wait for a reshove opportunity in the next orbit.
